Any intellectual property owned by a client prior to engaging our services remains the sole property of that client. Deliverables created specifically for a client under a Service Agreement shall be governed by the terms of that Agreement.
If you provide us with any suggestions, ideas, feedback, or recommendations regarding our services, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation to you.

Before initiating any formal dispute resolution proceedings, the parties agree to attempt to resolve any dispute informally by contacting each other and negotiating in good faith for a period of at least 30 days.
If the dispute cannot be resolved through informal negotiations, either party may submit the dispute to mediation in Toronto, Ontario before resorting to litigation. The parties shall share the costs of mediation equally. If mediation is unsuccessful, either party may pursue litigation in accordance with the Governing Law section above.
Notwithstanding the foregoing, we may seek injunctive or other equitable relief from a court of competent jurisdiction at any time to protect our intellectual property rights or confidential information.
These Terms, together with any Service Agreement and any policies referenced herein (including our Privacy Policy), constitute the entire agreement between you and Mdf First Aid Corp. regarding your use of the Website and supersede all prior and contemporaneous agreements, understandings, negotiations, and representations, whether oral or written.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.
